Acceptance of Terms

By using AddonLab's services, you accept these Terms of Service.

Agreement to Terms: By accessing, browsing, or using AddonLab's website, purchasing our products, downloading our plugins, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, along with our Privacy Policy and any other policies or guidelines we may publish from time to time.

If you do not agree to these Terms, you must not access or use our website or services. Your continued use of our services following the posting of any changes to these Terms constitutes acceptance of those changes. We recommend that you review these Terms periodically for any updates or modifications.

Eligibility: You must be at least 18 years of age to use our services. By agreeing to these Terms, you represent and warrant that:

• You are at least 18 years of age and have the legal capacity to enter into this agreement
• You have the authority to bind any business or entity on whose behalf you are using our services
• You are not prohibited from receiving products or services under applicable laws
• All information you provide to us is true, accurate, current, and complete

If you are using our services on behalf of a business or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms will refer to both you individually and that entity.

License Grant

Upon purchase, we grant you a non-exclusive license to use our plugins.

Grant of License: Subject to your compliance with these Terms and upon receipt of full payment, AddonLab grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use our WordPress plugins on the number of websites specified in your license tier. This license is personal to you and may not be transferred, assigned, or sublicensed to any other person or entity without our prior written consent.

License Restrictions and Permitted Uses: Your license includes the following rights and restrictions:

• Site Limitations: Use on specified number of sites The number of installations is determined by your license type (Single Site, 5 Sites, Unlimited Sites, etc.). Each WordPress installation constitutes one site, regardless of the number of domains or subdomains.
• No Redistribution: No redistribution or resale You may not sell, rent, lease, distribute, or otherwise transfer the plugins or any copies thereof to any third party. You may not make the plugins available on any file-sharing service, website, or platform for download by others.
• Code Modification: May modify for own use You may modify the plugin code for your own use to customize functionality or integrate with other software. However, modified versions remain subject to these Terms and may not be distributed.
• Development and Staging: You may install the plugins on development, staging, or testing environments in addition to your production sites without counting against your license limit, provided these environments are not publicly accessible.
• Client Work: If you are a web developer or agency, you may install the plugins on client websites, provided your license permits the number of installations. The license must remain active for the client to receive updates and support.
• Backup Copies: You may make a reasonable number of backup copies of the plugins for archival and disaster recovery purposes, provided such copies are not used on active installations beyond your license limits.

License Activation and Validation: Our plugins require license key activation to function. Each installation must be activated using your unique license key. We reserve the right to implement technological measures to verify license compliance and prevent unauthorized use. Attempting to circumvent or disable these measures is strictly prohibited and may result in immediate termination of your license.

Ownership: The plugins and all intellectual property rights therein remain the exclusive property of AddonLab and its licensors. This license does not grant you any ownership rights to the plugins, only the right to use them in accordance with these Terms. All rights not expressly granted to you are reserved by AddonLab.

Prohibited Uses

You agree not to:

You expressly agree that you will NOT use our plugins or services for any purpose that is unlawful, prohibited by these Terms, or in any manner that could damage, disable, overburden, or impair our services. Specifically, you agree not to engage in any of the following prohibited activities:

• Illegal Activities: Use for illegal purposes This includes but is not limited to using the plugins to facilitate fraud, money laundering, distribution of illegal content, phishing, spamming, hacking, or any activity that violates local, state, national, or international laws and regulations.
• Reverse Engineering: Reverse engineer You may not decompile, disassemble, reverse engineer, or attempt to derive the source code of any encrypted or obfuscated portions of the plugins. You may not create derivative works based on the plugins or use any portions of the code in other software products.
• Removal of Copyright Notices: Remove copyright notices You may not remove, alter, or obscure any copyright notices, trademarks, or other proprietary rights notices contained in or on the plugins. All copyright and attribution notices must remain intact in all copies.
• License Key Sharing: Share license keys License keys are unique to your account and must not be shared with others. You may not publish, post, or distribute your license keys on public forums, websites, or repositories. Each license key is monitored for abuse, and unauthorized sharing will result in immediate license revocation.
• Circumvention of Technical Measures: You may not bypass, disable, or interfere with security-related features of the plugins, including features that prevent or restrict use, copying, or enforce limitations on use. This includes attempting to crack, hack, or otherwise circumvent license validation systems.
• Competitive Activities: You may not use the plugins to develop, offer, or market competing products or services. You may not benchmark the plugins against competing products for public dissemination without our prior written consent.
• Bundling and Resale: You may not bundle the plugins with other products or services for resale without explicit written permission. You may not offer the plugins as part of a "nulled" or pirated software collection.
• Malicious Use: You may not use the plugins to transmit viruses, malware, or any other malicious code. You may not use the plugins to collect personal information without proper consent or in violation of privacy laws.
• Fraudulent Transactions: You may not use stolen credit cards, fraudulent payment methods, or engage in chargeback fraud. Any suspected fraudulent activity will be reported to appropriate authorities and payment processors.

Consequences of Violation: Violation of any prohibited use will result in immediate termination of your license without refund. We reserve the right to pursue all available legal remedies, including but not limited to injunctive relief and monetary damages. We may also report violations to law enforcement agencies and cooperate fully with any investigations.

If you become aware of any violation of these prohibited uses by other users, please report it to us immediately at hello@addonlab.io. We take violations seriously and will investigate all reports promptly.

Refund Policy

30-Day Money-Back Guarantee: We offer a full refund within 30 days of your purchase if you are not satisfied with our plugin for any reason. To request a refund, please contact our support team at hello@addonlab.io with your order details and reason for the refund request.

Refunds will be processed within 5-10 business days and will be issued to the original payment method used for the purchase. Please note that it may take additional time for the refund to appear in your account, depending on your financial institution's processing times.

The following circumstances are not eligible for refunds:

• Refund requests made more than 30 days after purchase
• Purchases made with fraudulent payment methods or obtained through unauthorized means
• Changes of mind after the 30-day refund period has expired
• Renewal charges for subscriptions (you must cancel before the renewal date)

By requesting a refund, you agree to cease using the plugin and remove it from all installations. Continued use after receiving a refund constitutes a violation of these Terms and may result in legal action.

Updates and Support

Active licenses include updates and support.

Plugin Updates: All active licenses include access to plugin updates for the duration of your license period. Updates may include bug fixes, security patches, new features, compatibility improvements, and performance enhancements. You will receive update notifications through your account dashboard and email.

Updates are delivered automatically through the WordPress plugin update system. To receive updates, your license key must be active and properly configured in your WordPress installation. We strongly recommend keeping your plugins up to date to ensure optimal security, performance, and compatibility with the latest WordPress versions.

Technical Support: Active license holders receive access to our premium support services, including:

• Email Support: Direct access to our support team via email with response times typically within 24-48 hours on business days
• Documentation Access: Comprehensive documentation, tutorials, and guides for all plugin features
• Bug Fixes: Priority assistance with bug reports and technical issues related to our plugins
• Installation Assistance: Help with plugin installation, configuration, and initial setup

Please note that support does not include custom development work, theme compatibility modifications, or assistance with third-party plugins and services. Support is provided in English only during our business hours (Monday-Friday, 9 AM - 5 PM EST, excluding holidays).

Upon license expiration, you will lose access to updates and support but may continue using the last version of the plugin you downloaded. To regain access to updates and support, you must renew your license.

Disclaimer of Warranties: OUR PLUGINS AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability and fitness for a particular purpose
• Warranties of title, non-infringement, accuracy, or completeness
• Warranties that the service will be uninterrupted, timely, secure, or error-free
• Warranties regarding the results that may be obtained from the use of our plugins

We do not warrant that our plugins will meet your specific requirements or expectations, or that they will be compatible with all third-party themes, plugins, hosting environments, or WordPress configurations. The operation and functionality of our plugins depend on numerous factors outside our control, including but not limited to server configuration, PHP version, database performance, and conflicts with other software.

You acknowledge and agree that your use of our plugins is at your sole risk. You are solely responsible for determining whether our plugins are suitable for your intended use and for implementing appropriate backup and disaster recovery procedures to protect your data.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such cases, our liability shall be limited to the maximum extent permitted by applicable law.

Limitation of Liability

We shall not be liable for indirect damages.

• Loss of profits, revenue, business opportunities, goodwill, or anticipated savings
• Loss, corruption, or unauthorized access to data or information
• Damage to your computer system, hardware, software, or loss of data resulting from your use of our plugins
• Costs of procurement of substitute goods or services
• Any damages arising from the use or inability to use our service or any third-party content

IN NO EVENT SHALL OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR PLUGINS EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

These limitations apply whether the alleged liability is based on contract, tort (including negligence), strict liability, or any other basis, even if we have been advised of the possibility of such damage. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you.

You acknowledge and agree that the limitations of liability set forth in this section reflect a reasonable allocation of risk between you and AddonLab and that these limitations are an essential basis of our agreement. The service would not be provided without such limitations.

You agree to indemnify, defend, and hold harmless AddonLab from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our plugins, your violation of these Terms, or your violation of any rights of another party.

Termination

We may terminate licenses for violations.

Right to Terminate: We reserve the right to suspend, disable, or terminate your license and access to our services at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms of Service or any applicable law or regulation
• Unauthorized distribution, modification, or reverse engineering of our plugins
• Use of fraudulent payment methods or chargeback requests
• Abusive behavior toward our staff or support team
• Exceeding the number of allowed activations specified in your license
• Providing false or misleading information during registration or purchase

Your Right to Terminate: You may terminate your license at any time by ceasing to use our plugins, removing them from all installations, and requesting account closure through our support team. Termination does not entitle you to a refund unless the termination occurs within our refund policy period.

Effect of Termination: Upon termination of your license, whether by you or by us:

• Your right to use the plugins immediately ceases
• You must immediately uninstall and destroy all copies of our plugins in your possession or control
• Access to updates, support, and your account dashboard will be revoked
• All provisions of these Terms that by their nature should survive termination shall survive

Termination of your license does not limit any of our other rights or remedies at law or in equity. We shall not be liable to you or any third party for any termination of your access to our service.

If you believe your account was terminated in error, you may contact our support team to appeal the decision. We will review your case and respond within a reasonable timeframe. Our decision following the review shall be final.

Changes to Terms

We may modify these terms at any time.

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Intellectual Property

The service and its original content (excluding content provided by users or third parties), features, and functionality are and will remain the exclusive property of AddonLab and its licensors. The service is protected by copyright, trademark, and other laws of both domestic and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of AddonLab. All product names, logos, and brands are property of their respective owners.

When you purchase a plugin license from us, you receive a limited, non-exclusive, non-transferable license to use the plugin software as specified in your license agreement.

User Accounts

When you create an account with us, you must provide accurate, complete, and current information at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our service.

You are responsible for safeguarding the password that you use to access the service and for any activities or actions under your password. You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

You may not use as a username the name of another person or entity that is not lawfully available for use, or a name or trademark that is subject to any rights of another person or entity without appropriate authorization.

Links to Other Websites

Our service may contain links to third-party websites or services that are not owned or controlled by AddonLab. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that AddonLab shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

Governing Law

These Terms shall be governed and construed in accordance with the laws of our jurisdiction, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our service and supersede and replace any prior agreements we might have had between us regarding the service.

Dispute Resolution

Any disputes arising out of or relating to these Terms or our services shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, it may be submitted to mediation.

If mediation is unsuccessful, either party may pursue resolution through binding arbitration or, where applicable, through the courts of our jurisdiction. Each party shall bear its own costs and expenses in connection with any dispute resolution proceedings.
